Will my company account get freezed if I didnt take INC 20A : Commencement of Business within 1 year of company incorporation?


Following are the consequence for non-filing of the form beyond 360 days:

  • Company will be liable to pay Rs. 50,000 penalty for not filing the Form INC 20A

  • Every officer who is in default is liable to pay Rs. 1000/- per day of default upto a Maximum Rs. 1,00,000/-

  • Registrar may initiate action for the removal of the name of Company / Strike off company name.

If the company fails to file Form 20A with the ROC, the company will be fined 50,000 rupees, and each officer will be fined Rs. 1,000 rupees per day until the default is corrected, up to a maximum of Rs. 1,00,000 rupees.

Non-compliance with the Section could result in the Company being struck out under Section 248 of the Companies Act, 2013.

If a company files a form after the 180-day period has passed, it must first file Form INC-28 for a delay condonation (in the filing of Form INC-20A) and then pay the penalties stated in the Act before proceeding with the filing of Form INC-20 A with additional fees (as may be applicable)
